    Limited Use License

  1. Grant of License. Alta hereby grants to the Customer identified in the attached Term Sheet a nonexclusive, non-transferable license to use the AltaNet Software ("Software") for the purpose of electronically submitting Customer's health care claims to payers. The term of this License is three (3) months, and it will automatically renew for additional three (3) month terms thereafter unless either Alta or Customer gives the other at least thirty days written notice of cancellation prior to the renewal date. Alta may also terminate this License for any breach by Customer upon thirty days notice or immediately if fees not paid. Customer will pay Alta the fees described in the Term Sheet.
  2. Network Services. Customer is solely responsible for maintaining a personal computer with modem and operating system that are compatible with the Software and Services, an Internet browser, and an Internet connection.
  3. Ownership and Use of the Software. The Software, Services, and all related documentation (collectively "AltaNet") are licensed, not sold. Alta retains all ownership interest in AltaNet and its components. Title in and to AltaNet (including any images, "applets", programs and text incorporated into AltaNet and its components), any accompanying printed material, and any copies you are permitted to make are owned by Alta. Customer will use AltaNet only as expressly permitted under this License and will not sub-license AltaNet or otherwise make it available to anyone else. Customer will use a confidential password issued by Alta and will take reasonable measures to prevent the unauthorized use of Customer's password on AltaNet.
  4. Warranties. Alta warrants only that it has the right to grant this License to Customer according to the express terms hereof. EXCEPT AS PROVIDED IN THE PRECEDING SENTENCE, AltaNet IS PROVIDED "AS IS", WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Alta does not warrant that AltaNet will be free from errors or interruptions or that AltaNet or any of its components will meet Customer's needs. Any liability of Alta to Customer will be limited to the amount of license fees paid by Customer to Alta during the six months prior to the time the cause of action arose.

    IN NO EVENT WILL Alta BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING LOSS OF BUSINESS PROFITS) ARISING OUT OF THE USE OF AltaNet OR THE INABILITY TO USE AltaNet. Customer will indemnify and hold Alta harmless against any claim or loss arising from Customer's use of AltaNet, except and to the extent that Alta has expressly assumed liability for such claim or loss under this License.

  5. Limitation on Reverse Engineering, Decompilation and Disassembly. You may not reverse engineer, decompile or disassemble the "software", except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
  6. Miscellaneous. This License shall be governed by the laws of the State of Utah. Any claim or controversy relating to this License, or the breach thereof, shall be settled by arbitration in Salt Lake County, Utah, administered by the American Arbitration Association in accordance with its applicable rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. This License represents the entire agreement between the parties relating to the subject matter hereof and may only be amended in a writing signed by authorized representatives of Alta and Customer.
  7. Fees. Basic fee of $ 95 per month for a maximum of 125 claims submitted per month, payable in advance by automatic debit to Customer's VISA, Mastercard or checking account. Failure to make timely payments before the first of the month will result in immediate termination of this Agreement. In the event more than 125 claims are submitted for a given month, each additional claim will be charged at $.75, and the invoice will be mailed or e-mailed to Customer. Alta may change its standard monthly fees, and will make good faith efforts to give timely notice.
